Terms of Use

Section 1 — Agreement Between You and Genquix Ltd

Genquix is operated by Genquix Ltd, a company registered in Wales ("Genquix", "we", "us", "our"). These Terms of Use constitute a legally binding agreement between you ("you", "your", "the User") and Genquix Ltd governing your access to and use of the Genquix application, website, database, and all associated services (collectively, "the Service"). These terms apply to all users including browsers, registered users, and subscribers. Genquix Ltd reserves the right to update, change, or replace any part of these Terms of Use at any time. Your continued use of the Service after changes are posted constitutes acceptance of those changes. It is your responsibility to check these terms periodically.

Section 2 — Eligibility

The Service is available only to individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. You may not create an account on behalf of another person without their express authorisation. Genquix Ltd reserves the right to cancel accounts and terminate access at any time for failure to meet eligibility requirements.

Section 3 — The Service

Genquix provides a horse coat colour genetics calculator, colour planner, community pedigree database, and breeding management tools. Access to the full Service requires an active paid subscription. Genquix Ltd reserves the right at any time, with or without notice, to modify, suspend, restrict, or permanently discontinue any part of the Service. Genquix Ltd is not an official breed registry. Pedigree information on the Service does not constitute or imply official registration with any breed society. Users should contact the relevant official registry for papers, ownership records, or official pedigrees.

Section 4 — Genetics Disclaimer

All genetics calculations, coat colour probability results, and related outputs provided by Genquix are for informational and guidance purposes only. They are based on established equine genetics principles but do not constitute professional genetic advice. Actual foal outcomes may differ materially from calculated probabilities due to the inherent variability of genetic inheritance, unknown genetic factors, and biological variation. GENQUIX LTD MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE, EXPRESS OR IMPLIED, AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR ANY PURPOSE OF ANY GENETICS RESULT, CALCULATION, OR OUTPUT PROVIDED BY THE SERVICE. GENQUIX LTD ACCEPTS NO LIABILITY WHATSOEVER FOR BREEDING OUTCOMES, FINANCIAL LOSSES, OR ANY DECISION MADE IN RELIANCE ON THE SERVICE. ANY RELIANCE YOU PLACE ON THE SERVICE IS STRICTLY AT YOUR OWN RISK. You should always seek advice from a qualified equine geneticist or veterinary professional before making significant breeding decisions.

Section 5 — Pedigree Database

Pedigree information in the Genquix community database is submitted by users of the Service. GENQUIX LTD DOES NOT VERIFY, GUARANTEE, OR WARRANT THE ACCURACY, COMPLETENESS, OR AUTHENTICITY OF ANY PEDIGREE INFORMATION. GENQUIX LTD ASSUMES NO LIABILITY FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN PEDIGREE RECORDS, AND NEITHER GENQUIX LTD NOR ANYONE AFFILIATED WITH GENQUIX LTD IS RESPONSIBLE FOR ANY DECISIONS, ACTIONS, FINANCIAL LOSSES, OR DAMAGES ARISING FROM RELIANCE ON PEDIGREE INFORMATION ON THE SERVICE. If you believe any information is incorrect, use the flag feature to report it.

Section 6 — Subscription and Payment

Access to the full Genquix Service requires a paid subscription. By subscribing, you authorise Genquix Ltd to charge your payment method on a recurring basis at the then-current subscription price.

• Subscriptions renew automatically at the end of each billing period unless cancelled
• Cancellation must be made before the renewal date to avoid being charged for the next period
• Upon cancellation, access continues until the end of the current paid billing period
• Subscription fees are non-refundable except where required by applicable law
• Where an automatically-renewed subscription is cancelled within two (2) calendar days of the renewal date, a full refund of the renewal fee may be requested by contacting dominic@genquix.com
• Genquix Ltd reserves the right to change subscription pricing with at least 30 days notice
• If payment fails, Genquix Ltd may suspend or terminate access to the Service without notice
• Accounts terminated for breach of these terms are not entitled to a refund of any subscription fees paid

Section 7 — Personal and Non-Commercial Use Only

The Service is licensed for your personal, non-commercial use only. You may not distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, sell, or exploit in any manner any information, data, results, content, software, or services obtained from or through the Service, except with the prior express written permission of Genquix Ltd.

Without limiting the foregoing, you are expressly prohibited from:

• Using any genetics calculations, results, algorithms, outputs, data, or content from the Service for any commercial purpose whatsoever
• Incorporating any part of the Genquix genetics engine, database, or outputs into any competing or non-competing product or service
• Reproducing, republishing, redistributing, selling, or sharing pedigree data, horse records, or any other content from the Genquix database with or without attribution
• Using Genquix data, results, or content in any publication, research paper, website, application, or service without prior written authorisation from Genquix Ltd
• Offering paid or unpaid genetics consultancy, advisory services, or breeding recommendations that rely on or are derived from Genquix outputs
• Sharing screenshots, exports, or copies of Genquix results publicly or commercially without attribution and prior written permission
• Using any content, data, or results from the Service in any AI training dataset, machine learning model, or automated system

Breach of this section constitutes a material breach of these Terms of Use and will result in immediate termination of your account without refund. Genquix Ltd reserves the right to pursue all available legal remedies including injunctive relief and damages. For commercial licensing enquiries, contact dominic@genquix.com.

Section 8 — Prohibited Uses

In accessing or using the Service, you must not:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, disassemble, or derive source code from any part of the Service including the genetics engine or algorithms
• Submit false, misleading, or maliciously inaccurate pedigree or horse information to the community database
• Use any automated software, bot, spider, scraper, or other tool to access, extract, copy, or harvest data from the Service
• Attempt to gain unauthorised access to any part of the Service, its servers, databases, or other users' accounts
• Upload or transmit viruses, malware, or any other harmful code
• Interfere with or disrupt the integrity, security, or performance of the Service
• Share your account credentials with any other person or allow any other person to access the Service through your account
• Impersonate any person or entity or misrepresent your identity or affiliation
• Use the Service to collect or harvest personal information about other users

Genquix Ltd may deny access to the Service at any time for breach of any of the above.

Section 9 — Your Account

You must provide accurate, complete, and current information when creating your account. You are solely responsible for maintaining the confidentiality and security of your account credentials. Your right to use the Service is personal to you and is not transferable by any means to any other person or entity. Any attempt to transfer your account or access rights is void and constitutes a breach of these Terms. You must notify Genquix Ltd immediately at dominic@genquix.com if you suspect any unauthorised use of your account. Genquix Ltd is not liable for any loss arising from unauthorised access to your account where you have failed to maintain reasonable security of your credentials.

Section 10 — User Contributions

Any pedigree data, horse records, or other content you submit to the Genquix community database ("User Contributions") will be considered non-confidential. By submitting User Contributions, you grant Genquix Ltd a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free licence to use, reproduce, modify, display, distribute, and exploit such content for any purpose in connection with the Service. You represent and warrant that you own or have the right to submit all User Contributions, that they are accurate to the best of your knowledge, and that they do not infringe any third-party rights. You are solely responsible for the accuracy and legality of any User Contributions you submit. Genquix Ltd is not responsible or liable for any User Contributions submitted by you or any other user.

Section 11 — Intellectual Property and Database Rights

The Genquix application, genetics engine, algorithms, calculations, user interface, design, code, branding, and all associated content and materials are the exclusive intellectual property of Genquix Ltd and are protected by copyright, database rights, trademark law, and other applicable laws. The GENQUIX trademark is registered in the United Kingdom. The Genquix pedigree database constitutes a proprietary database and is protected under the Copyright and Rights in Databases Regulations 1997. You are expressly prohibited from extracting, reutilising, copying, or republishing any substantial part of the Genquix database without the prior written consent of Genquix Ltd. Nothing in these Terms grants you any licence, right, or interest in any intellectual property of Genquix Ltd other than the limited personal, non-commercial right to use the Service as expressly set out herein. Section 12 — Copyright Infringement

If you believe that any content on the Service infringes your copyright, please send a written notice to dominic@genquix.com including: your name and contact details; identification of the copyrighted work you claim has been infringed; identification of the material on the Service you believe is infringing; a statement that you have a good faith belief the use is not authorised; and a declaration that the information in your notice is accurate. It is our policy to terminate the accounts of repeat infringers.

Section 13 — Disclaimer of Warranties

THE SERVICE AND ALL CONTENT, RESULTS, DATA, AND MATERIALS PROVIDED THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GENQUIX LTD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. GENQUIX LTD DOES NOT WARRANT THAT ANY GENETICS RESULTS, CALCULATIONS, OR OTHER INFORMATION PROVIDED WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PURPOSE. ANY RELIANCE YOU PLACE ON THE SERVICE OR ITS OUTPUTS IS ENTIRELY AT YOUR OWN RISK.

Section 14 — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENQUIX LTD, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BREEDING LOSSES, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE. THE TOTAL LIABILITY OF GENQUIX LTD TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO GENQUIX LTD IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. NOTHING IN THESE TERMS LIMITS OUR LIABILITY FOR FRAUD, DEATH, OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE.

Section 15 — Indemnification

You agree to indemnify, defend, and hold harmless Genquix Ltd and its directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: your access to or use of the Service; your User Contributions; your violation of these Terms of Use; your violation of any third-party rights including intellectual property, database, or privacy rights; or any decision or action you take in reliance on the Service. This indemnification obligation survives termination of these Terms and your use of the Service.

Section 16 — Termination

Genquix Ltd reserves the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any breach of these Terms of Use, conduct harmful to the Service or other users, or for any other reason at our sole discretion. Upon termination for breach, you are not entitled to any refund of subscription fees paid. You may terminate your account at any time by cancelling your subscription. The obligations in Sections 7, 11, 13, 14, 15, and any other sections that by their nature should survive, will remain in full force and effect after termination.

Section 17 — Dispute Resolution and Arbitration

In the event of any dispute arising out of or in connection with these Terms or the Service, you agree to first contact Genquix Ltd at dominic@genquix.com to seek informal resolution. If the dispute cannot be resolved informally within 30 days, Genquix Ltd reserves the right to require that the dispute be submitted to binding arbitration. Any arbitration shall be conducted on an individual basis — you may not bring or participate in any class, collective, or representative action against Genquix Ltd. Nothing in this section prevents Genquix Ltd from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or database rights.

Section 18 — Force Majeure

Genquix Ltd shall not be liable for any failure or delay in performance of the Service resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government action, fire, flood, internet outages, or failures of third-party service providers including Supabase, Stripe, or Vercel.

Section 19 — Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect. No waiver by Genquix Ltd of any breach shall be deemed a waiver of any subsequent breach.

Section 20 — Entire Agreement

These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and Genquix Ltd with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written. Any ambiguities in the interpretation of these Terms shall not be construed against Genquix Ltd as the drafting party.

Section 21 — Governing Law

These Terms of Use and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Subject to the dispute resolution provisions above, both parties submit to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident in another jurisdiction, you may also have the benefit of mandatory consumer protection provisions of the laws of your country of residence.
